Welcome to www.woodlea.com.au (the Site).  The Site is owned and operated by Leakes Road Rockbank Pty Ltd ABN 93 122 773 924 of Suite 4.01, Level 4, 99 Queen Street, Melbourne VIC 3000 (collectively ‘Woodlea’, ‘we’, ‘us’ and ‘our’). The term ‘you’ refers to the person accessing or using the Site or the information services offered on this Site (Services), or the organisation on whose behalf that person accesses the Site or our Services.

These Terms and Conditions apply to the use of this Site, including the use of the Services. By accessing or using this Site, you acknowledge and warrant that you have read, understood and agree to be bound by these Terms and Conditions. If you do not accept these Terms and Conditions, you must refrain from using the Site.

These Terms and Conditions are deemed to incorporate this Site’s privacy policy (Privacy Policy) which must be read in conjunction with these Terms and Conditions governing the use of this Site.  The provisions of the Privacy Policy apply as if set out in full in these Terms and Conditions.

Changes to our Terms and Conditions

We reserve the right to update or amend these Terms and Conditions and our Privacy Policy at any time without notice by posting the changes on the Site. The current version of the Terms and Conditions and Privacy Policy displayed on this Site at the time you access or use this Site will apply each time you use our Site. You are responsible for keeping up to date of any changes by regularly reviewing these Terms and Conditions.  Your continued use and access of the Site after any changes are posted will be deemed to constitute acceptance of the changes and new terms and conditions.

All information provided by us at this Site is general information and is not in the nature of advice. In particular, Woodlea does not hold itself out to offer any investment or financial advice. Woodlea derives the information on the Site from sources which it believe to be accurate and up to date as at the date of publication. Woodlea nevertheless reserves the right to update this information at any time (with or without notice to you). In addition, Woodlea does not make any representations or warranties that the information provided on the Site is reliable, accurate or complete or that your access to that information will be uninterrupted, timely or secure. It is your responsibility to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, etc., or other content available through the Site. 

Woodlea is not liable for any loss resulting from any action taken or reliance made by you on any information or material posted by us on the Site. To satisfy yourself that any purchase may be a satisfactory investment you should make your own inquiries and seek independent advice from relevant professionals before acting or relying on any information or material contained on our Site.

You agree to use our Site for lawful purposes only.

Proprietary rights in the Site

The entire contents and design subsisting in, relating to or arising out this Site including, but not limited to copyright, logos, trade marks, designs, text, graphics, images, video, information, applications, software, music, sound and other files, and their selection and arrangement (Site Content), are the proprietary property of Woodlea, our content providers or its licensors with all rights reserved.

The Site is for your personal, non-commercial use only. No Site Content may be modified, copied, distributed, communicated, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission.

Provided that you are eligible to use the Site, you are granted a non-exclusive, non-transferable, non-sublicensable, limited licence to access and use the Site and the Site Content and to download or print a copy of any portion of the Site Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact.

You may not upload or republish Site Content on any internet, intranet or extranet site or incorporate the information in any other database or compilation, and any other use of the Site Content is strictly prohibited. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, licence, sub-licence, reverse engineer, or create derivative works based on the Site or the Site Content or their selection and arrangement, except as expressly authorised herein.

In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Site. The Site or any portion of the Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose or to establish, operate or maintain your own product or service offering without our express written consent. Any use of the Site or the Site Content other than as specifically authorised herein, without the prior written permission of Woodlea, is strictly prohibited and will terminate the licence granted herein. Such unauthorised use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes.

Unless explicitly stated herein, nothing in these Terms and Conditions shall be construed as conferring any licence to intellectual property rights, whether by estoppel, implication or otherwise. This licence is revocable at any time without notice and with or without cause.

Registration

In order to receive relevant information and email communications from Woodlea, you will be requested to register your details with us (Registered User) . As a Registered User, you will receive special offers and information from us regarding the Site and the development;

If you choose to become a Registered User, you:

  • warrant to Woodlea that you are 18 years of age or above;
  • agree to provide accurate and complete information about yourself and to keep this information up-to-date; and
  • agree to comply with these Terms and Conditions.

Woodlea reserves the right to refuse or terminate your registration at any time and on our discretion, including if:

  • you register in a fraudulent or illegal manner;
  • you have breached these Terms and Conditions;
  • Woodlea considers it necessary to comply with any requirements of the law;
  • Woodlea considers that you are using the services provided on the Site in an inappropriate manner; or
  • you are already a Registered User.

Privacy Policy

Land Descriptions and Prices

Images, maps, drawings, plans, dimensions, sizes and areas, location, and other information displayed on this Site for the description of land lots are for illustrative purposes only.

The actual land lots available for purchase will depend upon a range of variable factors (which may be outside our control) including, but not limited to, council building approvals and planning consent, finance, soil test and survey results and the requirements of any government (state or local) body or any public, statutory, municipal or judicial body.  The prices specified for land lots are indicative prices only and will vary depending on a number of factors including, but not limited to, the location and size of the land lots.

Actual measurements, locations and price of land lots will be set out in the contract of sale.

House and Land Package Descriptions and Prices

Images, maps, drawings, floor plans, dimensions, sizes and areas, materials, finishes, fittings and other information displayed on this Site for the types of houses or house and land packages are for illustrative purposes only and may include options available at extra cost.

Woodlea will not undertake the building works for any house and land package. The building works will be carried out by a building contractor from our panel of approved builders in accordance with the design guidelines for Woodlea. You will enter into the building contract with the building contractor.

Final package prices and specifications will depend upon a range of variable factors (which may be outside our control) including, but not limited to, building contractor requirements and variations, council building approvals and planning consent, finance, soil test and survey results, the final plans, specifications, fixtures and materials selected and the requirements of any government (state or local) body or any public, statutory, municipal or judicial body.

Actual specifications for a particular home will be set out in the specific building contract.

Townhouse Description and Prices

Images, drawings, floor plans, dimensions, sizes and areas, materials, finishes, fittings and other information displayed on this Site for townhouses are artistic impressions based on current site designs and are for illustrative purposes only.  Some perspectives may have been enhanced and are subject to change.

The actual townhouses available for purchase will depend upon a range of variable factors (which may be outside our control) including, but not limited to, council building approvals and planning consent, finance, soil test and survey results, the final plans, specifications, fixtures and materials selected and the requirements of any government (state or local) body or any public, statutory, municipal or judicial body.

The prices specified for townhouses are indicative prices only and will vary depending on a number of factors including, but not limited to, the location and size of the townhouses, the number of bedrooms in the townhouses and the number, size and location of car parks sold with the townhouses.

Actual layout, dimensions, locations , finishes, fixtures and fittings and price of townhouses will be specified in the final contract of sale.

Woodlea Master Plan

The Woodlea Master Plan depicting the stages for Woodlea, and the images, dimensions, sizes and areas, facilities, amenities, infrastructure, land lot, houses and townhouses, the configuration of the facilities, amenities, infrastructure and other information displayed on the Master Plan are for descriptive and illustrative purposes only.

The actual stages, facilities, amenities, infrastructure, number of land lots and townhouses and the configuration of the facilities, amenities, infrastructure, land lots, houses and townhouses at Woodlea may change depending on a range of variable factors (which may be out of our control)  including, but not limited to:

  • council building approvals and planning consent, finance, soil test and survey results and the requirements of any government (state or local) body or any public, statutory, municipal or judicial body; and
  • our feasibility studies and projections and market conditions. 

Disclaimer of Liability

You agree that to the extent permitted by law neither Woodlea, nor our officers, directors, employees, agents, information providers, partners, advertisers, licensors or suppliers shall have any liability to you under any theory of liability or indemnity in connection with your use of the Site.

No claim is made as to the accuracy of the content of the Site.  Woodlea, nor our officers, directors, employees, agents, information providers, partners, advertisers, licensors or suppliers do not accept any liability or responsibility to any person for any loss or damage, however caused (including through negligence, breach of contract or tort), which you may directly or indirectly suffer in connection with your use of this Site or any linked web site, nor does Woodlea accept any liability or responsibility for any such loss or damage arising out of your use of or reliance on the information or advice contained on or accessed through this Site. The information provided on the Site is provided on the basis that all persons accessing the Site undertake responsibility for assessing the relevance, suitability completeness and accuracy of its content. Woodlea does not give any guarantee or warranties or make any representation of any kind, express or implied, with respect to the Site or information provided on the Site outside consumer protection laws.

Subject to claims available under consumer protection laws, neither Woodlea nor its related bodies corporate (as that term is defined in the Corporations Act 2001) is liable:

·       for any failure or interruption of the Site or resulting from the act or omission of any other party involved in making the Site or the information contained therein available to you, or from any other cause relating to your access to or your inability to access the Site or that information, whether or not the circumstances giving rise to such cause may have been within our control or the control of any vendor providing software or services support to us; and

·       to you or anyone else if interference with or damage to your computer systems occurs in connection with use of this Site or an external web site. You must take your own precautions to ensure that whatever you select for use from this Site is free of viruses or anything else that may interfere with or damage the operation of your computer systems.

Australian Consumer Warranties

If these Terms and Conditions constitutes a supply of goods or services to a consumer to which the Australian Consumer Law (ACL) applies, nothing contained in these Terms and Conditions excludes, restricts or modifies any condition, guarantee, warranty, right or remedy pursuant to which the ACL confers on you which may not be lawfully excluded (or the liability of any of our affiliates) with respect of the supply of any goods or services not ordinarily acquired for personal, domestic or household use or consumption.

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Where legislation implies any condition or warranty, and that legislation prohibits us from excluding or modifying the application of, or our liability under, any such condition or warranty, that condition or warranty will be deemed included but our liability will be limited for a breach of that condition or warranty to one or more of the following:

  • if the breach relates to goods supplied or offered by us:
  • the replacement of the goods or the supply of equivalent goods, or
  • the repair of such goods, or
  • the payment of the cost of replacing the goods or of acquiring equivalent goods, or
  • the payment of the cost of having the goods repaired; and
  • if the breach relates to services:
  • the supplying of the services again, or
  • the payment of the cost of having the services supplied again.

To the fullest extent permitted by law, Woodlea is not liable for any indirect, consequential or special loss or damage and all representations, warranties or guarantees not expressly stated in these Terms and Conditions are excluded. 

Indemnification

You agree to indemnify, defend and hold harmless us and our officers, directors, employees, agents, information providers, partners, advertisers, licensors and suppliers from and against all losses, expenses, damages and costs (including reasonable solicitor’s fees) or liability incurred or suffered by you or by Woodlea where such loss or liability arose out of, in connection with or in respect of your conduct or breach of these Terms and Conditions (including infringement of third parties’ intellectual property rights anywhere in the world or negligent or wrongful conduct) by you or any other person accessing the Site.

Third Party Rights

The provisions of Indemnification and the Limitation of Liability are for our benefit and the benefit of our officers, directors, employees, agents, partners, advertisers, information providers, licensors and suppliers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

Specific Warnings

You must ensure that your access to this Site is not illegal or prohibited by laws which apply to you.

You must take your own precautions to ensure that the process which you employ for accessing this Site does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer system. Woodlea does not accept responsibility for any interference or damage to your own computer system which arises in connection with your use of this Site or any linked Site.

This Site may contain links to other Sites. Those links are provided for convenience only and may not remain current or be maintained.  Where the information made available on this Site contains opinions or judgements of third parties:

  • you acknowledge that any opinions or advice by third parties on this Site remain the responsibility of those third parties and Woodlea is not responsible and does not guarantee the accuracy, completeness or usefulness of that content or its merchantability or fitness for any particular purpose;
  • Woodlea does not purport to endorse the contents of that opinion or advice nor the accuracy or reliability of that opinion or advice; and
  • Woodlea does not accept liability for loss or damage caused by your reliance upon any information obtained through this Site and it remains your responsibility to evaluate the accuracy, completeness and usefulness of any such information.

Security of Information

Woodlea use its best endeavours to minimise viruses and bugs from infiltrating the Site and keeping information secure, however due to the nature of the internet, the Site may be affected by viruses or bugs from time to time and no data transmission over the internet can be guaranteed to be totally secure. Whilst Woodlea strives to protect such information, Woodlea does not warrant and cannot ensure the security of any information which you transmit to Woodlea. Accordingly, any information which you transmit to Woodlea is transmitted at your own risk. Nevertheless, once Woodlea receives your transmission, Woodlea will take reasonable steps to preserve the security of such information.

Termination of Access

Woodlea reserves the right to monitor, suspend, restrict or terminate your access to this Site at any time without notice at our discretion. Our disclaimer, Privacy Policy and these Terms and Conditions will nevertheless survive any such termination, however you may no longer be authorised to access this Site. If you breach any of the Terms and Conditions, then your permission to use the Site automatically terminates. 

Woodlea Rent Free Promotion (Promotion) is subject to the following terms and conditions: 

Promoter

The Promoter is Leakes Road Rockbank Pty Ltd ABN 93 122 773 924 of 25 Aintree Boulevard, Aintree VIC 3336.

Development

The Development is the development known as “Woodlea” situated at Aintree, Victoria 3335.

Terms and Conditions of Promotion

By completing the Promotion Form, you acknowledge you consent to providing your personal information to the Promoter and agrees to and accepts these Promotion terms and conditions.

Who is eligible for the Promotion?

The Promotion applies to any person who is 18 years of age and over. You must:

  • have at least 3 years of hospitality experience;
  • be eligible to own and run a business in Australia; and
  • provide an updated National Police Check and/or credit report upon request.

How to apply?

Potential tenants must complete and submit an application form via the website https://woodlea.com.au/free-rent-apply/. The Promoter accepts no liability for any application forms that failed to successfully process due to technical difficulties associated with the entry mechanism.  Illegible and/or incomplete application forms will not be accepted.

Dates of Promotion

The Promotion commences on 13 March 2023 at 9.00am AEST and will continue until 5.00pm AEST on 31 March 2023 (Promotion Period).

Rent-Free Period

Subject to these terms and conditions, the successful tenant is offered a rent free period where the successful tenant is not required to pay any rent or any water, gas, electricity and internet bills until October 2026 (unless otherwise agreed with the Promoter) (Rent-Free Period).

The successful tenant is offered the current Aintree Café & Garden hospitality space at 25 Aintree Boulevard, Aintree VIC 3336 (Current Location) including a furnished venue with commercial grade kitchen for the remainder of the current lease (currently until September 2024).

Rent-Free Period Conditions

The successful tenant is offered the Rent-Free Period on the following conditions:

  1. the successful tenant enters into a minimum five (5) year (including the Rent-Free Period) legally binding lease agreement with the Promoter (Lease Agreement);
  2. the successful tenant will lease the Current Location until September 2024 or until the current Display Village & Sales Centre relocates to brand new location within the Development (New Location), whichever is sooner;
  3. once the Display Village & Sales Centre is relocated to the New Location within the Development, the successful tenant will be required to relocate the café to the New Location;

the successful tenant will be responsible for the fit-out of the café at the New Location however a fit-out contribution will be negotiated with the successful tenant and will have the opportunity to collaborate with renowned architectural firm, design team & creative agencies to inform the final design of this venue and brand, free of cost.

Personal Information

You acknowledges that you provide certain information to the Promoter to be used by the Promoter for future promotional purposes.  Individual’s personal information cannot be disclosed without the individual’s consent.  Personal information will be handled in accordance with the Promoter’s Privacy Policy which can be viewed online at https://woodlea.com.au/privacy-policy.

Promoter’s rights reserved

The Promoter reserves the right to exercise its absolute discretion in excluding applications that it considers to be contrary to law.

Other Terms and Conditions

  • The Promotion is personal to the tenant named in the Lease Agreement and the benefit of this Promotion may not be assigned (to a nominee under the Lease Agreement or otherwise) unless expressly agreed by the Promoter;
  • To the extent of any inconsistency between these terms and conditions and the Lease Agreement, the Lease Agreement will prevail.
  • The Promotion cannot be taken in conjunction with any other offer, campaign or promotion promoted by the Promoter from time to time without the Promoter’s prior written approval.
  • The Promotion is not an offer of finance. The Promoter or the Vendor takes no responsibility and is not liable for the tenant’s stamp duty, strata levies or other tax liabilities or government charges.
  • To the extent permitted by law, the Promoter:
    1. accepts no responsibility for any damage, loss or liabilities that may arise from a person entering into the Lease Agreement; and
    2. shall not be liable for any loss or damage whatsoever (including but not limited to direct, indirect, special or consequential loss or damage, loss revenue or profit) or personal injury suffered or sustained by the tenant in connection with the Promotion,, even if the Promoter has been advised of the possibility of such damages.
  • If, for any reason whatsoever, the Promotion is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failure or any other cause beyond the control of the Promoter which corrupt or affect the administration, security, fairness or integrity or proper conduct of the Promotion, the Promoter reserves its right in its sole discretion to take any action that may be available, subject to State and Territory regulations.
  • The Promoter reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion for any reason if the Promoter’s circumstances change.
  • Independent financial, legal or other professional advice should be sought by the tenant.
  • The Promotion is governed by the laws of the state of Victoria, Australia. All other terms and conditions in the Lease Agreement apply.

Woodlea’s Biggest Housewarming Competition – Win Your Deposit Back (Promotion) is subject to the following terms and conditions: 

1. Information on how to enter this Competition and prize details form part of these terms and conditions of entry (Terms).
2. The Promoter is Leakes Road Rockbank Pty Ltd ABN 93 122 773 924 of 11 Recreation Road, Aintree VIC 3336 (the Promoter).
3. The Development is the development known as “Woodlea” situated at Aintree, Victoria 3335.
4. Entry is open to residents of Victoria who are over 18 years of age.
5. The Competition is free to enter. Entry is limited to one per purchase.
6. Employees, management and contractors of the Promoter, its related bodies corporate and their suppliers and agencies involved in this Competition are not eligible to enter this Competition, nor are their immediate families.
7. By completing and submitting any entry and entering the required personal details (full name, email address, postcode and state of residence), the Entrant gives their consent to providing their personal information to the Promoter in accordance with the Personal Information Collection Statement. The Entrant is the person that has registered for the Competition.
8. By participating in this Competition, the Entrant acknowledges that they have read and understood these Terms and agree to be bound by them. Entries must comply with these Terms to be valid. Each Entrant must comply with these Terms.
9. The registration period for the Competition commences on Saturday 15 February 2025 at 9.00am AESST
and closes Monday 31 March 2025 at 5.00pm AESST (Registration Period).
10. To be eligible to enter the Competition, Entrants must:
(a) be a resident of Australia and 18 years of age and over;
(b) before the close of the Registration Period, enter into an unconditional, binding land contract of sale as the purchaser and the Promoter as the vendor, and provide evidence of a deposit being paid to one of Woodlea’s      participating Display Builders for the purchase of a selected house and land package for sale during the Registration Period at the Development; and
(c) complete and submit an entry form at the time the Entrant is entering into the Contract of Sale in hard copy or electronic copy at the Development sales office at 11 Recreation Road, Aintree, Victoria 3336.
For the purpose of these terms, ‘Display Builders’ are Carlisle Homes, Simonds, Metricon, Burbank, Dennis Family Homes, Australian Building Company, Homebuyers Centre, Boutique Homes, Home Group, Mimosa Homes, Eight Homes, Arden Homes, Long Island Homes, Orbit Homes, Henley, Singh Homes, and JG King Homes.
11. Employees of the Promoter, as well as the employees of the Promoter’s related entities or associated businesses, contractors and any person working onsite at the Development (including builders), are ineligible to participate in the Promotion, nor are their immediate families. Any Entrant who, in the opinion of the Promoter, tampers or interferes with the registration process in any way, or who does not properly comply with the registration process will be ineligible for the Promotion.
12. Any entries after the Registration Period will not be accepted.
13. All entries become the property of the Promoter.
14. The prize draw will take place on Saturday 5 April 2025 at 12pm AESST at the Development sales office at 11 Recreation Road, Aintree, Victoria 3336 (Event).
15. All Entrants will be invited by email to attend the Event. The Event will also be live streamed on Woodlea’s Facebook page.
16. Five winners will be drawn by random chance from the barrel in which the entry forms have been placed at the Event by a representative of the Promoter (Prize Draw).
17. The first five valid entries drawn will win a voucher to the value equal to their house and land deposit up to a maximum of AUD $20,000.00 (Prize) that is redeemable by each winner at settlement of the Contract of Sale (i.e. where a winner has paid a $15,000 deposit for a house and land package, the Prize will be a voucher for $15,000). The total prize pool is valued at up to $100,000.
18. Within 28 days after the Prize Draw, the Promoter will notify each Prize winner in writing and will deliver the Prize voucher (which is redeemable upon settlement). If an Entrant’s contact details change prior to the Prize Draw taking place, it is the Entrant’s responsibility to notify the Promoter in writing.
19. The value of the Prize will be adjusted in favour of the winner by the Promoter at settlement of the Contract of Sale and results in an adjustment (reduction) of the balance of the purchase price payable by the winner at settlement. Therefore, each Prize winner will be required to pay the full deposit upon signing the Contract of Sale, and evidence that a deposit has been paid to Woodlea’s participating Display Builders and the Prize will reduce the balance payment of the Contract of Sale payable by the purchaser at settlement.
20. The Prize is not transferable (including in the event that the Contract of Sale or building contract is nominated to another person) or exchangeable and cannot be taken as cash. The Prize winner acknowledges and agrees that if the Contract of Sale does not settle or the entrant otherwise defaults on the Contract of Sale, the Prize is void and is not payable.
21. Each Prize winner will be notified as a Prize winner at the corresponding Competition Event time and location and in writing to the email address provided. The Prize winners’ names will also be published on the Promoter’s website at www.woodlea.com.au for a period of 28 days commencing at 9:00am AESST on Monday 7 April 2025.
22. Any entry selected as a winner will be deemed invalid unless, within 7 days of being notified that they have won, the winner provides any information required by the Promoter to verify the validity of their entry and their identity (in accordance with clause 29).
23. The Prize must be taken as stated. The Prize cannot be sold to any other person (including by online auction or private sale). No compensation will be payable in lieu of the Prize.
24. The Entrant acknowledges that it provides certain information to the Promoter to be used by the Promoter for future promotional purposes. Individual’s personal information cannot be disclosed without the individual’s consent. Personal information will be handled in accordance with the to the Personal Information Collection Statement on the Entry Form and the Promoter’s Privacy Policy which can be viewed online at https://woodlea.com.au/privacy-policy.
25. The Promoter accepts no responsibility for any tax implications that may arise from acceptance by a winner of the Prize. Entrants should seek their own independent financial advice.
26. The Prize winners accept the Prize at their own risk. None of the Promoter, its related entities or any of their employees, contractors and agents (or employees of their contractors and agents) accept no responsibility for any liability, loss, damage or expense (including but not limited to direct, indirect or consequential loss or loss of profits), or death or personal injury, suffered or incurred by an Entrant, winner, or other party arising out of, or in connection with, this Competition, the provision of the Prize, use or participation in the Prize or marketing of this Competition, except for any liability which cannot be excluded by law (in which case that liability is limited to the minimum allowable by law).
27. Nothing in section 26 will limit or exclude the Promoter’s liability for:
(a) death or personal injury caused by the Promoter;
(b) fraud or misrepresentation by the Promoter; or
(c) any other liability that cannot be excluded or limited by law.
28. Incomplete, illegible, indecipherable and late entries are invalid. The Promoter accepts no responsibility for late entries or entries not received for any reason.
29. The Promoter reserves the right to disqualify any entries in the following circumstances:
(a) any Entrants or entries that tamper with, or attempt to tamper with the entry process. This includes, but is not limited to:
(i) submitting multiple entries using false or incorrect contact details;
(ii) using automated software, bots, or scripts to manipulate the entry process;
(iii) attempting to circumvent the stated entry requirements or conditions; or
(iv) engaging in fraudulent activities related to the competition, such as creating fake entries or identities,
(b) entries that are incomplete, indecipherable or illegible entries or entries containing false information or incorrect contact details. This includes
(i) missing or incorrect required information on the entry form (e.g., name, email address, postcode); or
(ii) submitting an Entry Form with any fields intentionally left blank or filled out incorrectly,
(c) any entries or entries containing false, misleading or incorrect information or entries submitted with incorrect or outdated contact details that hinder the Promoter from contacting the Entrant;
(d) any entries that contain material that is obscene, indecent, objectionable, defamatory, libellous or otherwise contravenes applicable laws or infringes any third party’s rights. This includes:
(i) submitting entries with inappropriate, offensive, or harmful language or images;
(ii) any content that violates intellectual property rights, such as using copyrighted materials without permission.
30. The Promoter reserves the right, at any time, to verify the validity of entries and the details provided by Entrants (including, without limitation, an Entrant’s identity, age and place of residence) and to disqualify any Entrant who submits an entry that is not in accordance with these Terms. This verification process includes, but is not limited to:
(a) reviewing the accuracy of the information provided by the Entrant;
(b) confirming that the Entrant has complied with all entry requirements, including eligibility criteria;
(c) conducting additional checks where necessary.
31. The information necessary for verification is at the sole discretion of the Promoter, and Entrants are required to cooperate with any request made in connection with this verification process.
32. All Entrants who are selected as winners agree to take part in publicity for this Competition as reasonably requested by the Promoter, and agree to the Promoter using their name, image, likeness, character, voice or anything else that identifies them in any media (including without limitation in national print media, on the Promoter’s website and in other promotional material) for a reasonable time without remuneration to promote any of the Competition, the Promoter and any of the Promoter’s products or services.
33. The Promoter is not responsible for any problems or technical malfunction of any telephone or network or lines, servers or providers, computer equipment, software, technical problems or traffic congestion on a mobile network, or any combination of these, or any other technical failures related to, or resulting from, participation in this competition.
34. If for any reason this Competition is not capable of running as planned, including as a result of infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond the control of the Promoter which corrupt or affect the administration, security, fairness, integrity, safety or proper conduct of this Competition, the Promoter reserves the right to cancel, terminate, modify or suspend the Competition, subject to any applicable legislation.
35. In the event of any material modification, suspension, or cancellation of the Competition, the Promoter will provide as much notice as possible to all Entrants via the contact details provided by the Entrants at the time of entry, or by other suitable means (such as the Promoter’s website, social media, or email). The Promoter will provide a clear explanation of the reasons for the modification or cancellation.
36. If the Competition is cancelled or modified in accordance with clause 34, the Promoter will not be liable to any Entrant or other party for any losses, damages, or expenses incurred as a result, except where required by law. Entrants will not be entitled to any compensation if the Competition is cancelled or modified, unless otherwise required by applicable law.
37. In the event that the Competition is cancelled or terminated, all entries received up to the time of cancellation will be considered void, and no further prizes will be awarded.
38. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.
39. This Competition cannot be used in conjunction with any other campaign, offer or promotion promoted by the Promoter.
40. All other terms and conditions in the Contract of Sale apply. To the extent of any inconsistency between these terms and conditions and the Contract of Sale, the Contract of Sale will prevail.
41. The Competition is not an offer of finance. The Entrant should seek independent financial, legal or other professional advice.
42. The Competition is governed by the laws of the State of Victoria, Australia.

Promoter
The Promoter is Leakes Road Rockbank Pty Ltd ABN 93 122 773 924 of 11 Recreation Road, Aintree, VIC 3336

Development
The Development is the development known as “Woodlea” situated in Aintree, Victoria 3335.

Terms and Conditions of Promotion
By entering into a Contract of Sale (defined below), the Applicant acknowledges their consent to providing their personal information to the Promoter and agrees to and accept these Promotion terms and conditions.

Promotion Lots
The products subject to the Promotion are any vacant lots or townhouses offered for sale at the Woodlea Sales Office during the Promotion Period at the Development (Promotion Lot).

Who is eligible for the Promotion?
The Promotion is available to all natural persons, who:
(a) is a resident of Australia;
(b) is 18 years of age and over;
(c) before the close of the Promotion Period, has entered into an unconditional, binding contract of sale between the Applicant as the purchaser and the Promoter as the vendor, for the purchase of a Promotion Lot (Contract of Sale); and
(d) has complied with the Offer Process (described below).

Employees of the Promoter, as well as the employees of the Promoter’s related entities or associated businesses, contractors and any person working onsite at the Development (including builders), are ineligible to participate in Promotion.

Any eligible purchaser who, in the opinion of the Promoter, tampers or interferes with the entry mechanism in any way, or who does not properly comply with the Offer Process will be ineligible to be considered for the Promotion.

How to apply?
A separate application is not required. A purchaser who meets the eligibility criteria above is automatically applicable for the Promotion (eligible purchaser).

Dates of Promotion
The Promotion commences on 15 February 2025 at 9.00am AESST and closes 31 March 2025 at 5.00pm AESST (Promotion Period) unless sold out prior. Any Contracts of Sale entered into after the Promotion Period will not be considered. The Promotion is limited to the first 20 (twenty) Contracts entered into. The Promoter, may at its discretion, extend the Promotion Period by publishing a notice on the Promoter’s Website with the dates of the extended promotion period. These terms and conditions apply to any extended promotion period.

Cashback and Offer Process
Subject to these terms and conditions, the eligible purchaser is offered that the Vendor will provide cashback of $25,000 in the form of a rebate (Rebate) upon completion of the Contract of Sale, where the eligible purchaser, during the Promotion Period has complied with the following

Offer Process:
(a) pays the deposit, or provides a bank guarantee, in accordance with the terms of the Contract of Sale;
(b) effects settlement of the Contract of Sale on the due date; and
(c) has complied with all other terms of the Contract of Sale.

How will the Rebate be applied?
The Rebate will be adjusted in favour of the eligible purchaser by the Vendor at settlement of the Contract of Sale and results in an adjustment (reduction) of the balance of the purchase price payable by the eligible purchaser at settlement. Therefore, the eligible purchaser will be required to pay the full deposit upon signing the Contract of Sale and the Rebate will reduce the balance payment payable by the eligible purchaser at settlement.

Rebates are limited to one per Contract of Sale. The Rebate is not transferable or exchangeable and cannot be taken as cash. The eligible purchaser acknowledges and agrees that if the Contract of Sale does not settle, the Rebate is void and is not payable.

Personal Information
The eligible purchaser acknowledges that it provides certain information on to the Promoter to be used by the Promoter for future promotional purposes. Individual’s personal information cannot be disclosed without the individual’s consent. Personal information will be handled in accordance with the Contract of Sale and the Promoter’s Privacy Policy which can be viewed online at https://woodlea.com.au/privacy-policy.

Promoter’s rights reserved
The Promoter reserves the right to exercise its absolute discretion in excluding applications that it considers to be contrary to law.

Other Terms and Conditions
(a) The Promotion is governed by the laws of the state of Victoria, Australia. All other terms and conditions in the Contract of Sale apply.
(b) To the extent of any inconsistency between these terms and conditions and the Contract of Sale, the Contract of Sale will prevail.
(c) The Rebate cannot be taken in conjunction with any other offer made by the Promoter from time to time without the Promoter’s prior written approval.
(d) The Promotion is not an offer of finance. The Promoter or the Vendor takes no responsibility and is not liable for the eligible purchaser’s stamp duty, strata levies or other tax liabilities or government charges.
(e) To the extent permitted by law, the Promoter and Vendor: (a) accept no responsibility for any damage, loss or liabilities that may arise from an eligible purchaser receiving a Rebate; (2) shall not be liable for any loss or damage whatsoever (including but not limited to direct, indirect, special or consequential loss or damage, loss revenue or profit) or personal injury suffered or sustained in connection with the Promotion or accepting or using the Rebate; and (3) accept no responsibility for any variation in the value of the Rebate in the Promotion.

Eligible purchasers will not be entitled to any compensation if the Promotion is cancelled or modified, unless otherwise required by applicable law.

Governing Law

Woodlea accepts no liability for any failure to comply with these Terms and Conditions where such failure is due to circumstances beyond our reasonable control.

If Woodlea waives any rights available under these Terms and Conditions on one occasion, this does not mean that those rights will automatically be waived on any other occasion.

If any of these Terms and Conditions are held to be invalid, unenforceable or illegal for any reason, the remaining Terms and Conditions shall nevertheless continue in full force.
